1. Agreement to Terms

By accessing or using SellarPro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms.

2. Description of Service

SellarPro provides cloud-based point of sale (POS) and inventory management software for businesses. Our services include:

• Point of sale functionality
• Inventory management and tracking
• Sales reporting and analytics
• Customer management
• Multi-location support
• User access management

3. Account Registration

To use SellarPro, you must:

• Register for an account with accurate and complete information
• Maintain the security of your account credentials
• Promptly update any information that becomes inaccurate
• Accept responsibility for all activities under your account

You are responsible for safeguarding your password and for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Subscription and Payment

4.1 Subscription Plans

SellarPro offers various subscription plans with different features and pricing. Current plans include:

• Solo Plan: GHS 99/month
• Growth Plan: GHS 150/month
• Business Plan: GHS 250/month

4.2 Billing

• Subscriptions are billed monthly in advance
• Payment is due at the start of each billing cycle
• All fees are non-refundable unless otherwise stated
• Prices may change with 30 days notice

4.3 Late Payment

If payment is not received within 7 days of the due date, your account may be suspended or downgraded until payment is made.

5. Acceptable Use

You agree NOT to use SellarPro to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for illegal activities or fraud
• Resell or redistribute the Service without authorization
• Scrape, data mine, or extract data from the Service

6. Data and Content

6.1 Your Data

You retain ownership of all data you enter into SellarPro. You grant us a license to use this data solely to provide and improve our services.

6.2 Data Accuracy

You are responsible for the accuracy and legality of all data you enter. We are not liable for any errors in your data or reports generated from it.

6.3 Data Export

You may export your data at any time through the provided export features. Upon account termination, you will have 30 days to export your data.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SellarPro and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or software without our explicit written permission.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs
• Circumstances beyond our control

We are not liable for any loss resulting from Service unavailability.

9. Limitation of Liability

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of content

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may terminate or suspend your account immediately, without prior notice, if you:

• Breach these Terms
• Engage in fraudulent or illegal activity
• Fail to pay for the Service

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after 30 days unless required by law to retain it.

12. Indemnification

You agree to indemnify and hold harmless SellarPro, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the courts of Ghana.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Service at least 30 days before they take effect.

Continued use of the Service after changes constitutes acceptance of the new Terms.
